The Story

It starts with a mining town in Zimbabwe.

Richard's relationship with capital begins with his father. Ben Ngwenya grew up in rural Zvishavane, Zimbabwe, and earned a scholarship to the Camborne School of Mines in England - an applied physics degree, later a Master's in Mining Engineering. He returned home to run Zimbabwe Alloys and the Bindura smelter and refinery complex, and held senior roles at Anglo American. That inheritance - patience, rigour, and the conviction that institutions outlast individuals - is the foundation Richard builds on.

After studying Finance and Accounting at the University of Cape Town, Richard apprenticed across every side of capital - audit at Deloitte, private banking at Investec, wealth advisory at Absa, corporate finance at Barclays Africa, cross-border structuring at Maitland - before founding Nisela Capital in 2011.

Across these mandates he has structured more than R50 billion in transactions and overseen R4 billion in assets. He holds the numbers lightly: the work that matters is the kind that compounds - businesses built, capital stewarded, institutions made to endure.

Maitland appoints senior business development manager in Johannesburg

The earliest public trace of the thread. Maitland, the international legal, tax, fiduciary and fund services group, brings Ngwenya in to lead Gauteng growth across private client, family office and corporate services, arriving from Nisela as executive director by way of Barclays Wealth and Investment and Investec Private Bank. Family office is already in the brief, twelve years before HoneyBadger carries the name.

The founding story, told early. Michael Avery traces the route from Investec private banking to Absa Wealth to starting Nisela in 2011, including the decision to sell the rest of the African operations and concentrate, which Ngwenya still calls one of the smartest calls he has made. The mandate then, as now: mid-market South African businesses at R50m to R100m EBITDA that want transformation alongside growth capital, with agri-processing, healthcare and financial services named as the underexploited ground.

Annual BEE Deal of the Year: Northam Platinum's acceleration of the Zambezi BEE transaction

DealMakers names the Zambezi acceleration its BEE Deal of the Year. Two inter-conditional components: pulling the 2015 empowerment structure forward four years ahead of maturity, and an extended 15-year, 26.5% transaction taking in Northam employees and communities at 23% and historically disadvantaged persons at 3.5% through a new listed vehicle. Zambezi ordinary shareholders received about R10.5bn in cash and Northam shares.

Millennium Equity targets luxury retail growth with Hyde Park Corner stake

Noxolo Majavu reports the R805m acquisition of half of Hyde Park Corner from Hyprop, funded with R600m of Absa debt against R205m of equity. Ngwenya is executive chair of Millennium Equity Partners, with Nisela Private Equity among the general partner's backers, and the stated intent was to take the remaining 50% within about two years.

Hyde Park fits perfectly with my belief in backing people, platforms and premium properties.

Hyprop retains control after Hyde Park Corner stake sale collapses

Six months on, the transaction lapses. Millennium does not meet the conditions inside the timelines originally agreed, the option over the remaining half falls away, and Hyprop keeps full control of the centre on improving numbers, lower vacancies and a new battery and solar project. The R600m Absa facility and the R205m of equity were never drawn.

While we are naturally disappointed that the transaction will not be concluded, we recognise the importance of regulatory, funding and timing considerations in transactions of this nature.
